Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any service at any time without notice.

3. Membership

Membership Obligations

Third-Party Content

Construction documents, blueprints, and specifications available through our services remain the property of their respective owners (architects, engineers, owners). Your access does not transfer ownership or grant reproduction rights.

Permitted Use

Members may use plan room documents solely for the purpose of preparing construction bids and performing construction work on the related projects.

6. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from reliance on bid information or documents
• Damages resulting from unauthorized access to your account
• Any amount exceeding the fees you paid in the preceding 12 months

8. Indemnification

You agree to indemnify, defend, and hold harmless Medford Builders Exchange, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or share through our services

9. Termination

By You

You may cancel your membership at any time by contacting our office. Cancellation does not entitle you to a refund of fees already paid.

By Us

We may suspend or terminate your access at any time, with or without cause, including for:

• Violation of these Terms
• Non-payment of membership fees
• Fraudulent or illegal activity
• Conduct harmful to MBE or other members

Effect of Termination

Upon termination, your right to access our services ceases immediately. Provisions that should survive termination (such as indemnification, limitation of liability, and governing law) will remain in effect.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Jackson County, Oregon. You consent to the personal jurisdiction of such courts.
